Cypher's products include software that trades strategies in foreign exchange (forex) and related instruments. Trading in forex involves large potential rewards, but also large potential risks. Do not invest or trade with money you cannot afford to lose. Trading forex and other similar financial instruments is not suitable for everyone. You should carefully consider whether you wish to subscribe to Cypher's services based on whether such trading is appropriate for your experience, financial objectives, and personal circumstances. Cypher does not make earnings claims, efforts claims, or claims that use of its products will make you any money.

Cypher's products and services are not intended to provide investment, tax, legal, or insurance advice. Cypher is not a financial advisor, asset manager, investment advisor, or commodity trading advisor. Cypher does not provide commodity trading advice based on, or tailored to, the commodity interest or cash market positions or other circumstances or characteristics of particular clients. Cypher does not direct any customer accounts or make trading decisions on behalf of any user. 3. Risk Disclosures

The following is a non-exhaustive list of certain risks that arise in connection with using Cypher products.

3.1 Risk of Loss of Capital

No information on this website is an invitation to trade any specific investments. Trading requires risking money in pursuit of future gain. Your decision to use Cypher's products is your own. Do not risk any money you cannot afford to lose. Cypher does not take into account your individual financial and personal circumstances. Cypher's products involve trading of foreign exchange ("forex"). Trading forex on margin carries a high level of risk and may not be suitable for all investors. The high degree of leverage can work against you as well as for you. Before deciding to use Cypher's products, you should carefully consider your investment objectives, level of experience, and risk appetite. There is a possibility that you could sustain a loss of some or all of your investment and therefore you should not invest money that you cannot afford to lose. You should be aware of all risks associated with forex trading and seek advice from an independent financial advisor if you have any doubts.

The purchase, sale, or advice regarding a currency in forex can only be performed by persons registered with (unless exempt from registration): (i) the CFTC (futures commission merchants, introducing brokers, commodity trading advisors, commodity pool operators, retail foreign exchange dealers, and licensed associated persons of such entities); and/or (ii) the SEC (broker-dealers and/or investment advisers and their licensed associated persons); and (iii) a state regulator (each, an "Intermediary").

Neither Cypher, nor its affiliates or associated persons involved in the production and maintenance of its products, services, or this website, is an Intermediary. 3.3 Software Risk

Use of Cypher's products may result in loss, including but not limited to: inability to use the license; loss of principal in the trading account; loss of business and goodwill; pecuniary loss; and other losses related to or arising from technology, such as failures in technology, failure to timely execute a trade, failure to correctly copy a trade, loss or interruption of data, breach of data, lost or unavailable network or server connections, software malfunction, errors, flaws, defects, bugs, and viruses. You accept the software "as is" and shall hold harmless Cypher, its officers, employees, principals, directors, and affiliated companies from any loss or damage resulting from or arising out of the use of the software. Cypher makes no warranty with regard to the software, whether expressed or implied.

3.4 Market Risk

Market risk is the potential for financial loss due to fluctuations in market prices driven by various factors including, but not limited to, interest rates, currency fluctuations, commodities, and geopolitical matters. Market risk may impact Cypher's products and may in turn impact the performance of your investment, and you may lose any or all of your balance in your trading account. You should consult an investment advisor, financial professional, attorney, or tax professional regarding your particular financial situation to understand how market risk may affect you before subscribing to Cypher's products.

3.5 Third-Party / Counterparty Risk

Using and licensing Cypher's products involves the use of services from various third parties unrelated or unaffiliated with Cypher, including but not limited to brokers, liquidity providers, software providers, clearing agents, and IT service providers ("Third Parties"). Your use of those Third Parties' services is governed by their own agreements and is unrelated to Cypher and its products. The acts and omissions of Third Parties, or failures of Third Parties, may be wholly or partially outside of Cypher's control. You acknowledge and accept that the acts and omissions of such Third Parties and their service providers may result in loss or damage to you, including but not limited to: loss of part or all of your investment in your brokerage account; failure to execute trades in a timely manner; mismanagement of funds; bankruptcy; cybersecurity incidents; and a broker's failure to provide negative balance protection. You hereby acknowledge and accept that Cypher, its affiliates, officers, principals, directors, employees, and consultants shall not be liable for any acts or omissions of any Third Parties (and their vendors and service providers) that may result in loss or damages to you or any person affiliated with you.

4. Hypothetical Performance Results

HYPOTHETICAL PERFORMANCE RESULTS HAVE MANY INHERENT LIMITATIONS, SOME OF WHICH ARE DESCRIBED BELOW. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFITS OR LOSSES SIMILAR TO THOSE SHOWN ON THIS WEBSITE.
